Legal Question in Business Law in California
If there are three members of an llc and they are in a meeting and it comes time to vote and one votes yes and one votes no and the third member abstains from voting what happens?

You have to look at your LLC's Operating Agreement which says how disputes are resolved. Typically, however, you would need a majority of the members to pass something. Thus, if there was no majority the action being voted upon would not pass.
If you don't have a copy of your Operating Agreement you should obtain one from the other members.
I note that you are writing from a zip code in Idaho. So, one of my questions is why you are sending to California attorneys.

You should have a "dispute resolution" protocol in your LLC Operating Agreement. If you do not have such a protocol or an operating agreement, send us an email and we will provide you with an exemplar at no charge via email.
