Legal Question in Business Law in California
Does the mere fact being elected as an officer make you a board member of a corperation,S corp? My corperation had a board meeting and the person conduting the meeting elected officers' first and then only one board member. Their are six in my coperation, board members. When the election took place only two officers were replaced and only one vote to add one board member who is not a officer. I do know board members should of been elected first then the officers.

Generally bard is elected first, who then selects officers. Being an officer does nit automatically make you a board member. Of course your corporate by laws could modify things
