Legal Question in Business Law in California

minority shareholder oppression-squeeze out

I am having trouble finding applicable cases on the issue of squeeze-out / oppression, breach of fudiciary duty in a medium sized co. 160 employ's where the president, father, founder gifted shares to children. He has been squeezed out and instigator son has little or no knowlege of the business. Fathers has been fired, and ousted from premises. I need cases supporting the founder and minority shareholder for Calif.

Thank You

Re: minority shareholder oppression-squeeze out

I have a copy of F. H. O'Neal's treatise entitled "Oppression of Minority Stockholders" in my office, and also have some personal experience in the area after a long career as an entrepreneur before becoming an attorney. The treatise is somewhat out of date, and I don't think the former publisher is supplementing it any more, but it is still the standard reference work in this area of law, still cited and still a way to find key cases. If you would FAX or e-mail me some details and numbers, I'll try to give you some specific rules and pointers, no charge. Of course, I also have all the standard references on California corporate law.
