I need to setup a non -profit as i am thinking of setting up a college in California. What are the advantages of setting up a non-profit , any advantages- can i sell the college later on . what are the tax benefits

Not all non-profits have tax exempt status. However if your non-profit is tax exempt, then the advantage is that the people who donate to it can take a tax deduction. Non-profits are nonstock so you may not sell the company. The assets of a non-profit will need to be transferred to another non-profit upon dissolution. There is more to it, but those are some basics.

If you are concerned with selling it, you may want to consider a for-profit C Corporation or S Corporation. You may contact me to discuss fees if you are considering any of these options.
