Legal Question in Business Law in California
I received a draw against future commissions based certain qualified prospecting with potential clients. The draw was paid and there is a clause in the contract stating the draws would be forgiven if not paid within 12 months. The contract was extended and the company pulled their agreement before the termination date. Am I responsible for this as fully understood that the draw would be forgiven? Now they are asking for the full amount.

It would be necessary to see the documents to provide an effective answer. If they are making the demand within 12 months,and there were no other conditions to your payment obligation, it sounds like you need to pay. Your statement of the terms does not indicate any conditions to the payment obligation if they make the demand in a timely manner.
