What is the difference between minutes and a consent resolution.
When a husband and wife are only directors/officers and work in the sam office are minutes required, or is the consent resolution ok?

Minutes are a record of a formal meeting and include a record of resolutions adopted at the meeting. A consent resolution can be used in lieu of a formal meeting when signed by the all of the directors and/or the shareholders.
