I am out of US and would like to start an online business registered out of Australia. Business will be primarily for Australian customer.

Then you should contact an attorney in Australia for legal advice. This forum is for California licensed attorneys. I think they are called solicitors and barristers in Australia, similar to England. All I know about Australia is that they have koalas and kangaroos.
