We started an LLC this year - 3/23/09.
We received a notice to pay $800 fee to state of California for the "first taxable year" by 4/15... is the first taxable year 2009 (am i Late?) or is it the 4/15 after the first year - 2010?

Go to the Franchise Tax Board's Web site at www.ftb.ca.gov and find Form 3556. The instructions (upper right corner of the first page) state when the first payment for a newly-formed LLC is due. Be sure to read down to the paragraphs dealing with "avoidance" to see if you qualifyto postpone your first payment.
Assuming your fiscal year is the calendar year your annual LLC tax is due by April 15th for the current year (meaning your 2010 LLC tax is due on 4/15/10). For your 2009 tax you have until the 15th day of the 4th month after organized/registered. It sounds like your 2009 tax was due by July 15th, 2009.
