A "new" California corporation generally may elect S-Corporation status within 75 days of a specified event (e.g., possibly on the earlier of the date stock was first issued, date capitalized, or date business operation commenced). The only way for you to establish your elibility to begin operation as a true S-Corporation, is to immediately seek the professional advice of a CPA or business law attorney.

Generally, the election to be treated as an S corporation must be filed within two and a half months of the beginning of the corporation's tax year or the incorporation of the corporation, whichever is later. There are, of course, more details and potential complications, so you should consult with an attorney or accountant.
