How does the UCC define goods? How does the UCC define merchants? Why is it important to understand how each of these terms are defined under the UCC?

For purposes of Division 2 (Sales), "goods" are defined in section 2105(1) and "merchant" is defined in section 2104(1) of the UCC (California version). There are slightly different definitions for "goods" in other Divisions, e.g. 9102(a)(44) relating to secured transactions.
