Legal Question in Business Law in California
Last year, we sold our business (a liquor store/market type) to an individual, and made sure everything was in working order. 10 months later, we receive a certified letter stating that the security system is not working properly and are demanding $3,000 otherwise legal actions will follow. Do they have a legitimate claim, after all this time? I think they're just trying to fish for money since times are hard.
Thank you

Unless you assumed an obligation to maintain the security system or represented that it would continue working truble-free for at least 10 months, and assuming it worked when you handed over the keys, I'd say the claim is baseless. Your buyer would probably file it in Small Claims, if at all, and if he does, be sure you show up for the hearing and present a defense, but I'd say your chances of winning would be pretty good.
