sold a business in 10/7/10, just this last friday night was served paper of a debtor suing the company, the papers were filed 11/22/10. who is responsible to answering the complaint the new owners or the old owners?

The named defendant(s) who was properly served is responsible for responding to the complaint. I am not quite sure what you mean by "paper of a debtor." It seems unusual that a debtor would be suing the company. The defendant(s) may have viable cross-claims, counterclaims and valid defenses. Whether the seller is liable will depend on various factors, including, but not limited to, facts surrounding the sale of the business.
