Legal Question in Construction Law in California
had a painting company dissolved the corperation about 3 years ago received a summons for a cross-complaint yesterday. would like to know what actions i need to take

The answer may depend on what the cross-complaint is for and whether or not you (and any other owners) took a distribution of assets when the dissolution took place. If there was a distribution of any kind, you personally may be liable up to the amount of distribution taken. If there were any other owners (shareholders) and they took a distribution, then each of you could be liable individually for the full amount of the distribution with rights against the other shareholders for their pro-rata share.
Mr. Campbell is correct, with the addition that you will have had to have properly maintained your corporate form and properly and completely dissolved the corporation. If you did not do so, you could be personally liable beyond the distribution. In short, it's time to at least spend a few hundred dollars on having an attorney review your situation one-on-one.
