Legal Question in Credit and Debt Law in California
I was not notified about a corporations dissolvment. I am a creditor
I am owed money from a photographer (via his corporation) whom I
represented as his commercial Agent. I have been trying to collect for about
three years. He has delayed certain payments and later opened another
corporation. I recently found out that he had dissolved the original
corporation in 2003, but I was never sent notice of any kind that he had
closed it.
Since I was told to send my commision invoices to his new corp. after 2003, I
did so, constantly sending requests to pay the original outstanding invoices. I
also reissued the original invoices again to the new corporatio. I have also
requested, for over two years, copies of his cancelled checks, just in case
there was an error with my acocuinting and bookkeeper and these invoices
were indeed paid.. I Never received these. Even offered to set up a payment
plan.
Can I still go after payment? I have never stopped trying to collect and again
was never notified about the closing of that first corporation as it seemed to
somehow fold into the new one. Is there anything I can do? The amount is
around $13,000.

You probably have four years from the time you last did work for the photographer to sue, so you should be OK legally. It looks at this point that you will never recover any of the money that is owed you unless you commence legal action.
