Type of Lawyer (Entertainment?) needed

To whom it may concern,

I've signed a ''Letter of Intent'' & ''Term Sheet'' to produce a movie. I want to find additional Venture Capital but need help deciphering the jargon on the contracts as to with whom I can legally find financing. Type of Lawyer needed? Contract or Entertainment? Help.

Surprise! So-called "entertainment law" is really about contract law -- really, a mix of contract law and copyright/trademark law that protects intellectual property, with a little bit of practical knowledge thrown in. Ideally, you should have consulted a lawyer before you signed the letter-of-intent and term sheet. It's not clear from your question where you are at, or with whom you made these agreements. If you need to raise money you MUST get a securities lawyer who understands the entertainment business. Generally speaking, most fundraising for motion pictures falls into the category of securities offerings (unless you are taking the money out of your own pocket). Many filmmakers do not seem to be aware of this fact. As is evident from the other responses to your query, some entertainment attorneys who handle contracts also do not take this into account, are not knowledgeable about the vagaries of securities regulation (which has both state and federal rules), and overlook important considerations. As you seem to be aware, a mistake in this area can be disastrous.
