Corporate Misconduct

I entered into a contract with my mother, whom was also an officer of my corporation and in charge of bookkeeping. She has since quit. While here, she over-paid herself on the contract, monthly, and she also has paid several of her personal household bills, and she has stolen the property relating to said contract. Will a complaint for breach of contract, with fraud, common counts, and breach of fiduciary duties, as causes of action, be approiate?

Without knowing more, that sounds like a good start, except for the common counts. You might add a claim for ''conversion,'' since she took corporate property.
