Your dad can marry the woman and apply for her permanent residence.

You'll want to provide additional evidence of a bona fida relationship and a joint-sponsor may be necessary, depending on how much income/assets your father has.

Dear Inquirer:

As long as she entered with a visa, even if she overstayed, she is eligible to file for adjustment of status in the US without leaving the US as the spouse of a US Citizen. Departing the US may also result in her incurring a penalty/bar to readmission, depending on how long ago her legal stay expired.

Absolutely, age matters! If they can prove a legitimate marriage, then all is possible (assuming there are no other issues). I would work with a psychologist who has success explaining the psychology of people such as your dad and his fiancee who are interested in being very close with others whose ages vary disparately from their own.
