Cease & Desist

I received a cease & desist letter from my previous employer who claims I breached my non-compete/confidentiality agreement with them that I signed in 2007, when I became an employee. I was not an executive at the previous company. In January, 2008, the company I previously worked for changed their business model, objectives and the name of their business from ''X'' to ''Y'', a social gaming platform. My ''shares'' of the previous company, ''X'' were made void by the companies management. I did not sign a new confidentiality agreement nor non-compete at that time with their new business ''Y''. Their new business model is a games social advertising network/platform. I seperate from the previous company in September of 2008 and started an online management consultancy. My firm helps entertainment sites grow their business opportunities, improve operational efficiencies and represents their revenue interests in the community. What are my options for next steps? What, if any action should I take?

Whatever you do you should have an attorney, because they may sue you to enforce that letter, whether legitimate or not. You have not mentioned how much is at issue. I would have to examine your case and see how strong their arguments are, and maybe write them a letter telling them they have no case. I do not know if you can sue them regarding your stock. If you are serious about hiring an attorney, let me know.
