Legal Question in Intellectual Property in California

Startups: Can a startup company with sweat equity independent contractors get the ICs to sign a Proprietary Rights Agreement prior to an Equity Agreement being agreed upon? What would the consideration be (since no equity or fees have been agreed upon btwn company and ICs)

The short answer is YES...the longer answer is that it should be included in the Independent Contractor Agreement/Sweat Equity Agreement documents. Because there are a number of legal, SEC, labor and contract issues with such agreements, please be sure to have a Business Law Attorney review the documents.
