contract with investor in my buisness

i am a small prodution placer gold miner and have a investor willing to invest in my oporation in return for raw gold at market value of date of agreement.What type of legal form should i use to protect both of us

Y'know, if I were running that operation, I'd be looking at an LLC (Limited Liability Company) form of organization. (I'm assuming you are currently a sole proprietorship). Set it up with you as the manager-member and the investor as a non-managing member. The write all the terms of the investment and pay-out deal into your operating agreement. This protects both of you against the general public, and against each other! I'd recommend having a business lawyer with prior small-business experience write it all up, working closely with the two of you.
