Legal Question in Investment Law in California

Investment Bank's Contract

We have to set up a Contract with an Investment Bank. The Contract deals with the Financing of a target Company, an acquisition of another Company, a following bond's issuance, and the payment of the Investment Bank's fees as well.

Could you please suggest the best contract capable to put together the whole as above.

There is no standard or "boilerplate" contract that will accomplish the set of transactions you mention. The ONLY way to handle these complex transactions is for your attorney or team of attorneys to sit down with the other parties and their attorneys and hammer out the documentation, clasue by clause, concept by concept. Investment banking transactions involving a series of acquisitions, issuance of securities, etc. require substantial care and attention from experienced attorneys. Any other handling is a recipe for financial disaster and lawsuits.
