Legal Question in Employment Law in California

I currently have a "Change of control clause in my employment agreement". If the company is acquired and I am terminated, I receive severance. My question: If we are acquired and I was offered a position with the new company at a lower pay scale and required to relocate across the country, would this still be considered termination is I declined the offer and would I receive the severance pay?
