Legal Question in Employment Law in California

I am negotiating my new contract (I am a coach) and my employer has offer a Memorandum of Agreement as the contract. Is there really any difference between MOA and contract?

If the document contains all of the essential terms of the agreement, and clearly shows a meeting of the minds on those terms it should be viewed as a contract. If you have any doubt, have an attorney review it for you.
