Can I be held liable it I know that my boss is stealing money and I don't do anything about it

Would need a lot more facts to answer this question. For example, held liable in an action by whom? Are you an officer or director of a corporation? Are you a partner in a partnership? From whom is your boss stealing money?

Your obligations under the law depend on what fiduciary duty you owe to the company, and that depends on what your role is and how the company is set up.

As a matter of employment law, however, if you blow the whistle on his stealing and are fired as a result, you have a sure-fire wrongful termination lawsuit.

Do the right thing.
