Legal Question in Real Estate Law in California
My corporation was dissolved that was a party to a lease that included me as tenant. Can I sue the landlord as an individual or former shareholder because the corporation is gone?

I'm on the road right now, so I can't look up in a reference book to verify my answer, but to the best of my recollection a corporation that has been recently dissolved but which was previously in good standing (not suspended for failure to pay the franchise tax, for example) still has the power to file suit in connection with any matter relating to winding up its affairs (as opposed to continuing to transact new business). In this particular situation, however, I believe it would be best to have a lawyer look at all the facts and advise on which party should be the plaintiff, or perhaps both should join in the same suit. I'll be back in my office tomorrow if you want to contact me.
