Changing ownership w/o power of attorney

Hello, I've been paying for my dad's car since he passed away. And the maturity date for the car is in a few months, and I would like to be the title holder of this car, before the payoff date. He died last 2002, and he didn't have any last will or power of attorney prepared. The finance co. is asking for his death certificate and power of attorney, in order for me to obtain the title. What are the ways for me to be the title holder of this car?
