power of attorney
my mother needs me as her power of attorney but she only got one more day to live.what can we do? im her daughter, her only child

If she's able to understand the document and sign it (even by mark), she can do so, otherwise you'd need a court order allowing you to be representative. As time is of the essence, you may wish to use a form from the internet or stationery store (Nolo Press's forms are usually better than the standard variety). An attorney may also be able to prepare and execute one quickly.
The main thing is her ability to sign the document--if she's unable to do so, you'll need a probate court order instead.
