Legal Question in Business Law in Colorado
Business Partnership Dissolve
The partners have an agreement for
a certain amount
of money etc., but now this partner
is trying to tack on several thousand
extra dollars for misc. services he
volunteered. This partner also has a
painting company and took it upon
himself to paint the business. The
majority owner wanted it painted a
certain way in the beginning but the
disputing partner took it upon
himself to paint in a different
manner. The majority owner didn't
dispute said services because he
understood these services would be
complimentary and let it be. Later
the disputing partner paid himself for
materials without the majority
partners knowledge or agreement.
Then this partner decided to trade
services with an advertising
company. The agreement again was
that this partner was volunteering
his services to benefit his
partnership. Without knowledge of
majority owner, more advertising
was ordered, exceeding the trade
agreement. Instead of free it became
a couple thousand dollars. Now
because these partners are disputing
the painter has tacked on thousands
in compinsation he feels he is owed
for volunteering his services. Can we
avoid paying him these

It is impossible to say without reviewing the agreement. I assume it was in writing. If not, an oral agreement just creates a huge mess.
There also may be breach of fiduciary duties of loyalty and other matters.
