Buy-Sell Agreement
We need legal help drafting our Buy-Sell Agreement (Shareholders Agreement). Our S-Corporation is incorporated in Wisconsin, but our operations are in Colorado.
Must we get our legal counsel from an attorney practicing in Wisconsin, or will a Colorado lawyer do just as well?

Morning:
It could be any state if the parties agree (a choice of law clause). As a practical matter, I have no idea why you incorporated in WI if the primary operations are in CO. I assume you have qualified that corporation to do business in CO. If not, do that.
