I co-own a small company.... we Both own 50% ...Can I WILL my 50% to any person I want??????????????

Yes, but it's possible that they may only receive an economic interest (i.e., non-voting interest)without the other member's consent to admit them as a member depending on what your operating agreement says. You also might want to plan around a buy-out in case of death, which often is done with life insurance. I hope this helps.
