Legal Question in Business Law in Colorado

Joint venture areement

I am in Pa signing a joint venture agrement with company in Colorado. They want me to sign the agreement mail it to them, they will sign it and have it notarized. They will then mail it to me. How can they have this notarized without me being present? Would such an agreement be legal and enforceable?

Re: Joint venture areement

Pennsylvania notaries must have witnessed the person signing the will in most cases. I would assume Colorado notaries are under the same rules, but I am not certain about that. You really should have an attorney advising you on this agreement.

Re: Joint venture areement

The Colorado notary can witness the Colorado signature. If the other party wants your signature to be notarized as well, you would have to sign in the presence of a notary where you are.

Re: Joint venture agreement

The notary matter should be the least of your concerns. A joint venture agreement is complex, involves any number of rights and responsibilities (including fiduciary duties depending on the agreement terms) and is not something that should be considered without legal counsel.

Good luck with your venture.
