my legal protection from proposed contract changes

I work as a sole proprietor independent contractor for health care consulting. A potential new client has proposed some changes to the wording of MY contract because I would not sign their contract. I would like to send you my wording of the contract and then the proposed changes they are submitting to compare and tell me what exactly they are saying in "laymen's terms" and not the legal jargon. Also, I would like to know if you feel it is safe for me to accept their wording or if I should counter-propose some changes? The changes are related to "indemnification".

Dear questioner:

It is very common to have this kind of battle of the forms. Changes to indemnification or hold harmless parts of contracts can have some rather unpleasant effects. Call and I would be happy to discuss requested changes with you.
