As a Franchise Attorney I can say this is not the type of question suitable for a bulletin board like LawGuru. There are numerous personal tax and liability issues that will determine whether or not a corporation or sole proprietorship is best. Whether the lessor will allow a corporate lessee, or will require your personal guaranty is yet another issue. Best to consult with a good business or franchise attorney in your area for specific advice.

The prior answer is accurate. This question cannot be answered without considerably more facts about your circumstances and plans. Additionally, assuming the lease has not already been signed, you should have the lease reviewed and negotiated to assure that the terms are not purely landlord favorable.

Contact an attorney as soon as possible to discuss the lease and about selecting the best entity form.
