Legal Question in Real Estate Law in Colorado

Started S Corp. for my Real Estate Investment Business. I am the only shareholder. Do I need to document having Shareholder meetings with myself, board of Directors meetings with myself, ETC, etc...

Feel kinda dumb asking this, but I can't seem to find the Answer to this "dumb" question...

Is there a book available...S Corp. for Dummies....ha

The short answer is that you do have to document that you held your annual meeting. There's no magical format required but it does need to identify when, where and who was present. Many attorneys may even have forms available on their websites for you to use. Sign it and put it in your corporation file. There are more best practices, and some requirements, when there are more shareholders, but that should cover you for the minimum.

To answer your question, I had to assume that you initially created a corporation in Colorado and then elected to be taxed as an S corporation. An S corp is not a legal entity but a choice for taxation. Either an LLC or a corporation can elect to be taxed according to the rules of an S corp.
