covenant not to compete when selling a business
is the distance specified in the covenant shortest driving distance or distance as measured by ruler on a map?

Typically it is the shortest distance between two points. There are a number of factors, though, that must be evaluated when determining the enforceability of a non-compete.

I believe most courts would take the "measure" on a map approach.
