I gave a business partner money for the purpose of starting a new LLC. I also purchased equipment for the new LLC. I was named a managing member but no minutes and no shares were isssued to me. He operated the business out of the new checking account. He took money out of the checking account for his own personal use. He passed away in July. The manager of the business, under direction from the estate and thier accountant took the remaining balance of money in checking account out and moved it to the old operating checking account. My question is what rights do I have to this business? Do I sue the estate? do I press charges against the manager?
