power of atorney

yes my family has an environmental company in which my grandmother runs. she allowed my grandfather to have stipulated power of attourney inwhich would only work if she was out of country. my grandfahter had an emergancy stock holders meeting in which he used the power of attourney to get my grandmother taken out of the company when she was there for the meeting. My question is was my grandfather in legal rights to use his power of attourney to use my grandmothers votes to get her off the company?

If the power of attorney (POA) is written the way you have indicated, maybe not. However, typically a POA does not have restrictions on use. If it was a typical POA, then the holder of the POA (your Grandfather) has the right to use the power as he sees fit. I would have to see the actual POA to see if there was anything that would change my mind. You could contact me if you want to pursue this further.
