Validity of Operations doc for an LLC

Signed an operating agreement for a partnership but it has come to my attention the following 2 issues: 1) one partner that was to receive 1/3 for a certain $ amount, did not put in that amount (other partner really did), thus technically that partner shouldn't get 1/3. 2) Just found out today that the LLC was never created in the state.

Question is, can I deem this operating agreement null & void given these 2 facts?

Possibly. It depends on what acts have been taken in the name of the LLC and what you are trying to accomplish. If you just want out without liability it may not be to your best interest to void the LLC. If you are trying to get out of an agreement with the other "partners" (actually, if it is an LLC they would be "members") then you may have good argument that th agreement is void.
