Legal Question in Business Law in Delaware

Costs of incorporation or LLC in NE. vs. DE. with"foreign" reg. in NE.

Can anyone give me a comparison of costs/benefits/disadvantages of filing an incorporation or LLC solely in NE. as against filing in DE. and after registering as a foreign corp. or LLC in NE. & possibly elsewhere too. Thanks to anyone who can provide me with this. Joyce Simmerman

Comparison of filing LLC or Corp in NE vs DE

I am not familiar with the filing cost in each state, however, Nevada does not require naming the stockholders of the LLC or Corp. I believe the filing costs are almost equivelant. In both states a registered agent that resides in the state must be named. The tax advantages are not great in Nevada unless the income from the LLC or Corp could be designated as earned in Nevada. This is an advantage since Nevada has no corporate income tax. If however you earn money in a state other than Nevada, the state in which you earned the money would require paying an income tax. The only advantage as I see it in incorporating in Nevada would be if the company were a holding company or similiar type which derives its income from activities that could not be localized to any state. I am not familiar with the laws of Deleware. I have set up several corporations through a registered agent in Nevada. If you want to retain me I will put in the necessary research and provide you with a detailed anaylsis of the costs and draw up the paperwork.
