Legal Question in Business Law in Delaware

I incorporated a DE c corp Nov 2023. It has made no money to date. I had expenses though trying to make it work. I hear I need to file tax even though it made no money.

Now, I would like to dissolve it as well. I need a good response from a business lawyer who can work with me to get these done.

To dissolve the company, you will need to file a Certificate of Dissolution and pay the fees. Presumably you paid the Delaware annual franchise tax by March 1. Although this would be paid in 2024, it was the tax for year 2023. Therefore, to dissolve the company you also will have to pay the tax for year 2024.

From the information you provided, it sounds like you will need to file the federal tax form 1120 for the corporation.

Yes that's a problem all right. Online here lawyers will write up a few sentences of advice, but no way is someone handling a matter like this for no fee. How come you're giving up after 6 months?

Good luck.
