Reporting requirements for annual stockholder meeting

I am a former employee and stockholder in a small, tightly held Delaware company. The CEO wants me to sign a non-disclosure before attending the annual meeting - I will not do so. What specific types of information is the company required to disclose at an annual meeting. Can he exclude me for not signing the NDA? Thanks

Annual meetings usually cover material specified in the notice of the meeting. Standards are usually elelctions of directors and officers, review of annual financial matters, etc. Anything can be covered at the meeting so it is usually important to attend. All stockholders are entitled to attend these meetings. It is unusual for a non-disclosure to be requested for attendance. I suspect some extraordinary material will be presented and discussed which could effect the financial affairs of the company, and that is why you are being asked to sign the document. They should not be able to bar you from attending.
