Legal Question in Business Law in Delaware
Is stock issue void? Does a stock certificate from a Delaware corporation have to be signed by 2 people? Moreover, Can a secretary of the corp. sign his own certificate and stamp the place of the president signature with a corporate seal, and the certificate be valid? Also, there was no written directors resolution actually approving the issue of stock.
