Legal Question in Business Law in Delaware

Substitution of an attorney-in-fact

Firstly, I would like to introduce myself: I am an Argentinean attorney. I am involve in a legal research in order to obtain the legal framework of United States (specially Delaware State) related to the issuance of a power of attorney and/or proxy. I would be so pleased if you could inform me which is the law or regulation that ruled the above mentioned matter (issuance of a power of attorney) and if it is possible to obtain the law by the net (name of the web page or number of the Law or Act). I need to prove before an Argentine Court if an attorney-in-fact could substitute his faculties or powers (formerly granted to him by a power of attorney of a company in Delaware, USA) in favor of a third party.
