Legal Question in Business Law in Florida
I was listed as the register agent for the company that I work for without my knowledge. My signature was submitted electronic by the owner. What should I do?
1 Answer from Attorneys
All companies must have a designated Registered Agent. This a Florida resident (or Florida entity) that is designated to accept service of process in the event the business is sued. To resign, you must sign and file a resignation form that can be found on the www.sunbiz.org website for the Florida Department of State, Division of Corporations. There is also a filing fee that must be paid with the filing. The fee and form may vary with the type of business entity (Corp., LLC, etc...). Send a copy of the resignation form to the company. Otherwise, the company can take you off by amending their Articles of Incorporation (or Articles of Organization depending on the entity), designating a new Registered Agent, and paying the Amendment Filing Fee.
