dilution of stock

Our CEO needs to dilute the stock by adding shares to prepare for a large investor.

There are at present 3 small investors.

Does he have to ask or merely notify them?

Re: dilution of stock

When you dilute stock, you are taking from the current shareholders so you do have to follow either your own shareholder agreement or state statutes.
