Any attorney will say a review of all the corporate bylaws and other organizational documents is required. This is not a simple bulletin board question. Forward your bylaws and other corporate documents to an attorney in your area for specific advice.

If this was a straight forward corporation, and for that you would have to look at the Articles and Bylaws, you would hold a meeting of the Board, and vote to change officers, posting the minutes in your corporate book. The you would also have a meeting of the Stockholders and do the same for the Directors.
By the way, corporations are supposed to have at least one meeting each year for the Stockholders and Directors.
You will also need to probably amend your annual report filed with the Secretary of State Division of Corporations.
