breach of contract

I was going to purchase the restaurant business from Seller

(key of

operation only). We had a Bill of Sell about the purchase the

restaurant business.

Later seller refused to sign the Release of liability form on

the restaurant business with landlord (who ownes the

actual restaurant) and

failed to hand over the rights of operation of business to me

on the day that we

agreed. Because of her failure to sing the Release, I wanted

to cancel the Bill of Sale contract with Seller and take my

money back. She refused to give me my money. Do I have

the

right to cancel the Bill of Sale contract before she signed the

Release of her liability on business?

Will I be able to operate the business without her signing

the

Release of liability with landlord?
