Buying incorporation
need advice on buying someone's incorporation. Planning on buying the business, should I buy his inc. and what are the rules for changing things over to my new name and incorporation? Seller wants to sell the inc. in order to save him money. I will not be keeping the same name, but can all the numbers, lis, motor vehicle numbers, etc required to run business be changed to new name and do I have to get all new numbers when information is changed over to new business name??

From a liability standpoint it is generally prefferable to structure as an asset sale followed by a dissolution of the old company. This helps to insulate the new company from liabilities (known and unknown) iof the old company. However, there are many factors to consider (tax, established name, etc...). I don't really know what you mean by "numbers"
