Child Care Center w/o a License

I purchased a Child Care Center with the agreement between myself and the seller that all licenses would stay in place. The agreement rested on the seller and myself becoming partners; hence, my name would be added to the corporate ownership list. The broker/title company replaced the seller's name with my name, which meant there was a change in ownership. This change in ownership requires a new license. Do i have a legitimate case against the broker/title co. or the seller. I have a contrat that states all sellers credentials would remain. Your question is confusing in that it is unclear whether you entered into an asset purchase agreement, a stock purchase agreement, or some other type of agreement that would allow the existing licenses to remain in effect notwithstanding your new interest in the Chiuld Care Center. If you sought legal advice before you signed the contract, then I suppose you had an attorney who assisted with the drafting or negotiation of the written agreement and for the closing. If you did not have an attorney for the preparation of the written agreement or the closing, you should have. I suggest that you return to the lawyer you first sought legal counsel from as he/she might be best suited to advise you on this matter given his/her knowledge of the background and facts surrounding this particular transaction. Without reviewing all of the documents relating to the deal, it would be virtually impossible to provide you with any meaningful guidance. Good luck.
