Legal Question in Business Law in Florida

Contract Dispute w/Fraudlent Representation Of Products

I entered into a 6 months Contract Agreement, to build a Sales & Service Network for a US Corp, that their manufacturing plant is located in China. After 10 days into the contract, the company terminated our contract, after I had completed 60% of the specific task. They still owed me several thousands of dollars and later I discovered that the products I was establishing the network for, had been mis-represented to me as being certified by all the State and Federal Agencies. I have not only invested my time, and other colleagues, but now at risk of being held liable for losses to the dealers, fined by the agencies and sued for mis-representation. Is this a Federal or State matter, and what should I do?

Re: Contract Dispute w/Fraudlent Representation Of Products

There are mainly state law issues raised in your fact pattern. Breach of contract, failure to pay wages and misrepresentation. It sounds to me that you have issues on which you need to take action and to begin building possible defense. It is a complex situation and you should retain an attorney with experience in employment law and intellectual property.

I agree with Mr. Crone to the extent that this is a very complex issue, which raises several areas of law including breach of contract and administrative law. You should seek advice and representation from an attorney. These issues are to complicated for this type of forum.

If you would like to discuss this matter with me further, then please do hesitate to contact my office.
